  1. About Cleverbridge GmbH

    Cleverbridge GmbH is a company based in Germany, domiciled in Cologne, and with a subsidiary, Cleverbridge, Inc., domiciled in Chicago, USA. Our primary business objective is to process the international transactions associated with the purchases made using the Cleverbridge GmbH ordering system (e.g. website). Multiple nationally and internationally active software companies use Cleverbridge GmbH's services. The following terms and conditions apply to cleverbrdige AG, its websites and all company employees.

  2. Basic Principle

    Cleverbridge GmbH, which is responsible for collecting, processing and using data, pledges to protect the privacy of all persons who use Cleverbridge GmbH's services and to handle their personal data in a confidential manner. We process personal data collected from visits to our website in accordance with the data privacy regulations of the country in which the office that is responsible for processing the data is domiciled (server is located in Cologne, Germany). Our employees are obligated to maintain data private in accordance with the applicable German data privacy regulations (such as the German Data Privacy Act (BDSG) and the German Telemedia Act (TMG). Our websites may contain links to third party websites that are not subject to this Data Privacy Statement.

  3. Anonymous Data Collection

    In general, Cleverbridge websites are designed in such a manner that you can access pages without having to enter personal information and data. The automatic exchange of data between your browser and our server upon accessing our pages informs us of which browser you are using, the date and time of your visit, the name of your internet service provider (ISP), the website and internet protocol address (which makes identification via your ISP possible) you are using to visit us, and which of our websites you are visiting. We may evaluate this information for statistical purposes, although you will remain anonymous as an individual user.

  4. Collection and Processing of Personal Data

    Data that we collect is provided voluntarily by you for the purposes of registration, online orders, faxed orders, or orders submitted by telephone or email. We process personal data as necessary to process orders and/or registrations made using our websites or other sales channels. When you establish contact with us, you will only be requested to provide information relevant to the corresponding situation. Said data includes, among other things, the collection, storage and use of delivery and billing addresses, email addresses and payment data (so-called inventory data). In the interest of improving our customer service and preventing fraud, we store this data, along with the articles you ordered and any correspondence (email, letter, fax), in our system. Should a contractual relationship be entered, your data will, upon your request and after the contractual relationship has been fully executed, be blocked from further processing and deleted after the mandatory storage periods defined in tax and commercial legislation have passed. Upon accessing our web-based ordering system, certain additional information is automatically collected and then saved in protocol files (so-called usage data). This information includes, among other things, internet protocol addresses (IP addresses), browser type, internet service provider (ISP), date/time stamps. We are authorized to access this data in order to maintain our operating ability and prevent fraudulent access to our ordering service. Within the scope of Cleverbridge GmbH's personalized services, your registration data will, subject to your consent, be used for advertising, market research and tailoring electronic services. Furthermore, the information collected from you upon visiting our website may, subject to your consent, be merged into a user profile in order to provide advertising that is personally tailored to you. You can withdraw your consent to use our personalized services at any time in the future.

  5. Payment Procedure

    We provide our customers with the various payment methods, such as credit card, bank transfer, cash payment, direct debit, PayPal, check and giropay, etc. For payments by credit card, we require your credit card number, the card's expiration date and your credit card's security code. Your payment details are then transferred to our payment provider for transaction processing. For payments by direct debit, we require your name, your account number and the bank routing number. Additionally, you can also pay for goods by check or in cash. In this case, we will not require any information other than the delivery address. In order to ensure a secure, encoded transfer of your personal data, we use the SSL (secure sockets layer) standard on all our websites. This means that your personal data and the payment information provided during our ordering process will be transferred securely. For further information, please see below: 10. Data Access and Security. Paying by credit card is an easy and comfortable payment method. In order to avoid defaults on payment, we reserve the right to obtain information on your creditworthiness from third parties for certain payment methods (direct debit, purchase on account), e.g. based on mathematic-statistical processes. In this event, you will be explicitly informed during the ordering process.

  6. Transferring Data to Third Parties

    As a general rule, data will not be transferred to third parties unless you are explicitly notified as such and you have provided your consent. This does not apply to transferring data to intermediary subsidiaries, associated companies, service providers and cooperation partners that have a contractual confidentiality obligation to us and that are legally and/or contractually obligated to use data for the purpose of checking and processing contracts only. They are not authorized to use data for further purposes. For example, software manufacturers whose products are available in our ordering system require your name and your email address in order to create a valid license number or valid license key, and to provide the necessary software support. In order to deliver ordered products by post, the purchaser's address information and, potentially, telephone number are passed onto to shipping and logistics service providers. For tax-free orders originating in other EU countries, your address information may be passed on to the German Tax Agency in order to establish that your sales tax identification number (UST-ID) was provided correctly. Personal data will only be transferred to governmental authorities and agencies when mandatory pursuant to national legal stipulations.

  7. Export and Processing of Data in Countries Outside of the European Economic Community

    We hereby state that, for the purposes of processing your order, your data may be transferred to our subsidiary based in the USA and/or to software manufacturers whose products you purchase through us and who are based outside the European Economic community in countries that, to date, generally do not have a data privacy level that is recognized as being congruent to the European Union.

  8. International Customers

    Please note that personal data from persons based outside the European Union are managed jointly by Cleverbridge GmbH in Cologne, Germany and Cleverbridge, Inc. at 53 West Jackson Blvd. Suite 1135 Chicago, IL 60604-3618, USA.

  9. Cookies

    Cookies are files that are saved in a predetermined index by your browser. These files make it possible to identify users and increase user comfort when using Cleverbridge systems (e.g. when submitting orders). Using Cleverbridge systems does not require that cookies be accepted. Personal data is used and contained in cookies only with your explicit consent and will, in that case, contain information regarding your session on the Cleverbridge websites in order to, for example, facilitate secure and personalized online access so that you don't have to re-enter your user ID and password if you have a user account. You can, of course, view our websites without cookies. Most browsers accept cookies automatically. You can stop cookies from being saved to your hard drive by selecting *do not accept cookies* in your browser settings. Refer to your browser's manual for more information on how this can be done individually. You can delete cookies that have already been saved on your computer at any time. Not accepting cookies, however, may lead to limitations in the functionality of our services.

  10. Data Access and Security

    Your personal data are subject to security stipulations that protect your personal data by using various security technologies and measures, thereby hindering unauthorized access and use. Your data are saved on our servers in Cologne, Germany and are only accessible by authorized persons there who are familiar with Cleverbridge GmbH's data privacy stipulations. Additionally, we also implement various security mechanisms and authorization processes in order to impede unauthorized access. All access to the online shop's ordering pages at Cleverbridge GmbH is granted using so-called SSL technology (secure socket layer). All standard web browsers support this technology, thereby securing that the personal information and payment data you provide during the ordering process are transferred securely.

  11. Review and Correction of Customer Data

    You can review and edit your stored personal data at any time and free of charge. Additionally, you also have the right to correct, block or delete this data. In order to do so, please send us a brief request in writing, either via post/FAX or email (see below). If you are a registered user, then you will have the opportunity to review, delete or change data yourself. In the event that, despite our efforts to maintain data correct and up-to-date, false information has been saved, then we will change it upon your request. You will receive a response to your request from our data privacy agent within 30 days.
